Agreement

These Terms of Service ("Terms") govern your use of this website and the consulting services provided by Enrico Schmidt Consulting LLC ("we", "us", "our"), a Wyoming limited liability company. By using this website or engaging our services, you agree to these Terms.

Services

We provide digital marketing and strategy consulting, which may include strategy development, performance marketing, search engine optimization, content, analytics, conversion optimization and brand positioning. The scope, deliverables, timeline and fees for each engagement are set out in a written proposal, statement of work or agreement ("Engagement Agreement"). If an Engagement Agreement conflicts with these Terms, the Engagement Agreement takes precedence.

Fees and payment

• Fees are stated in each Engagement Agreement and are quoted in U.S. dollars unless agreed otherwise.
• Invoices are due within the payment term stated on the invoice. We may pause work on overdue accounts.
• Advertising spend paid to third-party platforms (for example Google or Meta) is separate from our fees and is the client's responsibility unless expressly agreed otherwise.

Cancellations and refunds

Ongoing engagements may be cancelled by either party with the written notice period stated in the Engagement Agreement, or 30 days' written notice if none is stated. Fees for work already performed are non-refundable. Where a client has prepaid for work that has not yet started, we will refund the unused portion, less any costs already incurred on the client's behalf.

Client responsibilities

You agree to provide accurate information, timely feedback and the access needed to deliver the services, such as access to advertising, analytics and website accounts. You are responsible for ensuring that materials you provide to us do not infringe the rights of others and that your products, services and claims comply with applicable laws and platform policies.

No guarantee of results

Marketing results depend on many factors outside our control, including market conditions, competition, platform algorithms and client decisions. We commit to delivering our services professionally and with care, but we do not guarantee specific rankings, traffic, leads, sales or return on investment.

Intellectual property

Once fees are paid in full, deliverables created specifically for you under an Engagement Agreement belong to you. We keep ownership of our pre-existing methods, tools, templates and know-how, and may use general knowledge gained during an engagement in future work. Ad accounts, analytics properties and data created for you remain your property.

Confidentiality

Each party agrees to keep the other party's non-public business information confidential and to use it only for the purposes of the engagement, except where disclosure is required by law.

Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability arising from any engagement is limited to the fees you paid us for that engagement in the three months before the claim arose.

Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Wyoming, unless otherwise agreed in writing.

Changes

We may update these Terms from time to time. The "Last updated" date at the top of this page shows when they were last revised. Changes do not affect Engagement Agreements already signed.
